These Terms of Service (“Terms”) govern your access to and use of the websites, applications, embedded widgets, and related services (collectively, the “Services”) provided by Operant Solutions LLC (“Operant,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Scope of Services
These Terms apply to all products and services operated by Operant Solutions LLC, including:
- Operant – login-only web application for government and public sector users
- Operant Transcription – login-only transcription web application for government and public sector users
- Operant Assistant
- Public-facing embedded chat widget
- Login-only administrative dashboard
2. Eligibility and Authority
You may use the Services only if:
- You are legally capable of entering into a binding agreement; and
- You have the authority to bind yourself or the entity you represent.
If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
The Services are not intended for children under the age of 13.
3. Accounts and Access
Certain Services require an account.
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
You agree to notify us promptly of any unauthorized access or security incident involving your account.
We may suspend or terminate access to the Services if we reasonably believe an account has been compromised or used in violation of these Terms.
4. Use of the Services
You agree to use the Services only for lawful purposes and in accordance with these Terms.
You may not:
- Use the Services in violation of applicable laws or regulations
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to systems or data
- Reverse engineer, decompile, or misuse the Services except as permitted by law
We reserve the right to monitor usage to ensure security, compliance, and proper operation of the Services.
5. Customer Content
5.1 Ownership
You retain ownership of all content, data, files, prompts, messages, audio, and other materials you submit to the Services (“Customer Content”).
5.2 License to Operant
You grant Operant a limited, non-exclusive license to process, store, and use Customer Content solely to provide, maintain, and improve the Services, including for security, auditing, and operational purposes.
5.3 Responsibility for Content
You are responsible for:
- The legality and accuracy of Customer Content
- Ensuring you have the rights and permissions to submit Customer Content
Operant does not review Customer Content for accuracy or legality and is not responsible for its substance.
6. AI and Automated Processing
The Services use artificial intelligence and machine learning models provided by third-party vendors.
- AI-generated outputs are provided for informational and operational purposes only.
- Outputs may be inaccurate, incomplete, or unsuitable for specific use cases.
- You are responsible for reviewing and validating outputs before relying on them.
Customer Content is not used to train Operant’s machine learning models.
7. Availability and Changes
We may modify, suspend, or discontinue any part of the Services at any time.
We do not guarantee uninterrupted or error-free operation of the Services.
8. Intellectual Property
All intellectual property rights in the Services, including software, designs, and documentation (excluding Customer Content), are owned by Operant or its licensors.
These Terms do not grant you any ownership rights in the Services.
9. Third-Party Services
The Services may rely on or integrate with third-party services. Operant is not responsible for the availability, security, or performance of third-party services.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERANT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
OPERANT DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- OPERANT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES.
- OPERANT’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID TO OPERANT FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR USD $100 IF NO FEES WERE PAID.
12. Indemnification
You agree to indemnify and hold harmless Operant from claims arising out of:
- Your use of the Services
- Your violation of these Terms
- Your Customer Content
13. Government Users
If you are a government or public sector entity, your use of the Services may be subject to additional contractual terms agreed upon separately. In the event of a conflict, such terms shall control.
14. Termination
You may stop using the Services at any time.
We may suspend or terminate access to the Services if you violate these Terms or if required by law.
15. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
16. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted with a revised “Last Updated” date. Continued use of the Services constitutes acceptance of the updated Terms.
